OFFICIAL RULES (the “Rules”)

NO PURCHASE NECESSARY. The Hershey and Circle K® “REESE’S Experience” (the “Contest”) at Mac’s and Circle K locations, is sponsored by Hershey Canada Inc. (“Hershey”), Mac’s Convenience Stores Inc., and Couche-Tard Inc. (“Couche-Tard), (collectively, the “Sponsors”) and the Contest will be administered by 612 Creative Inc. (the “Administrator”). For the avoidance of doubt, NBA Properties, Inc., the National Basketball Association (the “NBA”), and the NBA member teams (collectively, the “NBA Entities”) are neither a sponsor nor partner of this Contest and bear no liability in connection with the Contest, its administration or fulfillment of Prizes.

The decisions of the Sponsors and the Administrators shall be final and binding and non-appealable in all respects. This Contest is subject to all applicable federal, provincial, and municipal laws and is void where prohibited by law.

Subject to applicable laws, these Rules govern all aspects of the Contest including the Contest materials and are binding upon all participants. In the event of any inconsistency between the Rules and the conditions and explanations appearing on any other documents, including the Contest materials, these Rules shall take precedence.

1. 1. CONTEST PERIOD: The Contest begins on November 14, 2023 at 12:00:01 am Eastern Time (ET) and ends on December 11, 2023 at 11:59:59 pm ET (the “Contest Period”). The clock used by the Sponsor to compute Entries (as defined below) will be the official clock to determine the date and time of receipt of an Entry.
2. 2. ELIGIBILITY: The Contest is only open to legal residents of British Columbia, Alberta, Saskatchewan, Manitoba, Northwest Territories (collectively, the “Western Region”), Ontario (the “Central Region”), Nova Scotia, New Brunswick, Newfoundland, and Prince Edward Island (the “Atlantic Region”) (the Western Region, the Central Region and the Atlantic Region are each a “Region” and collectively, the “Territory”) who at the time of entry: (i) have reached the legal age of majority in their province/territory of residence; or (ii) are sixteen (16) years of age or older, but under the legal age of majority in their province/territory of residence (each, a “Minor”) and have permission from their parent/legal guardian who has agreed, on such Minor’s behalf and on his/her own behalf, that each of them will be bound by these Rules. Employees of the Sponsors and the Administrators, or their respective head office and branch offices, distribution centres, their respective parent companies, affiliates, subsidiaries, distributors, sales representatives, administrators, advertising and promotion agencies, prize suppliers, agents, store operators and their employees, any entity that has been contracted with specific to this Contest and their respective immediate household/family members are NOT eligible to participate in the Contest. Employees of the NBA Entities, including affiliates, agents and immediate family members and/or those living in the same household of such employees, are not eligible to enter or win the promotion. Immediate household/family members is defined, for these purposes, as including spouse, parents, children, siblings, and each of their respective spouses, and/or those persons with whom any of the above are domiciled (whether related or not). By participating in this Contest, each entrant (or in the case of a Minor, their parent/legal guardian) agrees to be bound by (i) these Rules; and, (ii) all decisions of the Sponsors and the Administrators, which are final in all respects.
3. 3. HOW TO ENTER THE CONTEST: NO PURCHASE NECESSARY.

Visit circlekgames.ca (the “Contest Website”) during the Contest Period, select your province/territory, upload a picture of your eligible transaction receipt with two (2) Participating Products (as defined in Section 12 below, subject to availability and while supplies last), and fill out the online entry form including your first name, telephone number, and other fields as presented. Check the box to confirm that you are sixteen (16) years of age or older in your jurisdiction of residence at the time of entering the Contest and have consent from your parent/legal guardian to participate in the Contest if you are under the legal age of majority in your jurisdiction of residence. Check the box to confirm that you are entering the Contest and are in compliance with these Rules and click submit (each a “Submission” and collectively, the “Submissions”). Upon receipt of a valid Submission by the Sponsors, you will receive two (2) entries for the Secondary and Grand Prizes Draws (as defined below). Limit: one (1) submission per person, per day, and per mobile phone number.

NO PURCHASE ENTRY. To enter the Contest without purchase, during the Contest Period, write a 50-word minimum hand-written essay about “Why I love basketball” on a plain piece of white paper. Take a picture of the essay and visit to the Contest Website. Select your province/territory, upload a picture of your essay, and fill out the online entry form including your first name, telephone number, and other fields as presented. Check the box to confirm that you are sixteen (16) years of age or older in your jurisdiction of residence at the time of entering the Contest and have consent from your parent/legal guardian to participate in the Contest if you are under the legal age of majority in your jurisdiction of residence. Check the box to confirm that you are entering the Contest and are in compliance with these Rules and click submit (each a “No Purchase Entry Submission” and collectively, the “No Purchase Entry Submissions”). Upon receipt of a valid No Purchase Entry Submission by the Sponsors, you will receive two (2) entries for the Secondary and Grand Prizes Draws (as defined below). Limit: one (1) No Purchase Entry Submission per person, per day, and per mobile phone number.

All No Purchase Entry Submissions shall become the exclusive property of the Sponsors and none will be acknowledged or returned. Proof of sending or submission will not be deemed to be proof of receipt by the Sponsors. The Sponsors are not responsible for lost, late, incomplete, invalid, unintelligible, or illegible Submissions, which will be disqualified.

1. 4. PRIZES: The following Prizes are available to be won:
2. (i) Secondary Prizes: There are ninety-four (94) secondary prizes available to be won during the Contest Period (each a “Secondary Prize” and collectively, the “Secondary Prizes”).

Odds of winning a Secondary Prize depend on the number of eligible Secondary Prize Entries received from applicable Region at the time of the Secondary Prize Draw (as defined below).

1. (ii) Grand Prizes: There are three (3) grand prizes available to be won during the Contest Period (each a “Grand Prize” and collectively, the “Grand Prizes”).

Odds of winning a Grand Prize depend on the number of eligible Grand Prize Entries received from applicable Region at the time of the Grand Prize Draw (as defined below).

The Grand Prizes each consist of a trip for the winner and one (1) guest (guest must be age of majority or older in their province/territory of residence) to see an NBA game (selected at the NBA Entities’ discretion) during the 2023/2024 NBA season. The Grand Prize includes return economy air transportation for the Grand Prize winner and his/her guest from the major airport nearest the Grand Prize winner’s primary place of residence in Canada (airport, carrier and airline ticket class selected at the sole and absolute discretion of the Sponsors, and winner and guest must depart from the same airport), ground transportation to and from destination airport, one (1) standard hotel room, based on double occupancy for two (2) nights (accommodation to be selected at the sole and absolute discretion of the Sponsors), two (2) tickets to an NBA game (seat selection to be chosen at the sole and absolute discretion of the Sponsor, subject to availability), and CAD $500 spending money awarded to the winner only in the form of a VISA gift card. The approximate retail value (“ARV”) of the Grand Prize is $5,135 CAD, which is based on a departure from Vancouver, British Columbia to Toronto, Ontario (based on advertised prices on September 1, 2023). ARV may vary depending on winner’s point of departure and prices at the time of booking. If a portion of the Grand Prize is not used, no compensation will be awarded to the winner. If the Grand Prize winner is a minor, he/she must be accompanied by a parent/legal guardian. If guest of winner is a minor, he/she must provide written consent of his/her parent/legal guardian permitting the minor to travel with the confirmed winner.

Resale of NBA game tickets is strictly prohibited. All NBA game tickets are subject to certain terms and conditions as specified thereon. Grand Prize winner and guest must abide by all venue policies and regulations, including without limitation all health and safety protocols, and ticket terms and conditions at all times. The Sponsors reserve the right to revoke the full or partial Grand Prize from any winner or guest who the Sponsors, venue personnel or the NBA Entities deem, in any of their sole discretion, may be intoxicated, be a safety risk, have violated any venue or NBA Entities policy or law, fail to comply with the NBA Entities’ (or its designee’s) health and safety protocols, or bring the NBA Entities into disrepute. For the avoidance of doubt, unused tickets cannot be refunded, exchanged or applied towards tickets for any subsequent NBA event or for cash.

Ground transportation (other than as stated above in the prize description), upgrades, meals, alcohol, entertainment in room, car rental, insurance, medical and/or health costs, excess baggage costs, communication costs, gratuities, souvenirs, luggage fees, and all other expenses not specified herein are solely the winner’s and his/her guest’s responsibility. The Grand Prize winner’s guest will be required to complete and return a Declaration and Release prior to the Sponsors’ designated agent making travel arrangements. Once the guest is selected, they may not be substituted, except in the Sponsors’ sole and absolute discretion. Travel and accommodations are subject to availability and change. If Grand Prize winner is unable or unwilling to travel on the specified dates, the Grand Prize may be forfeited and awarded to an alternate winner. All travel and Grand Prize-related events are subject to availability and restrictions. Selection of airport, airline and overnight accommodations are at the Sponsors’ sole discretion. Winner may be required to provide a credit card prior to check-in of accommodations and is solely responsible for all incidental charges and may be required to sign an additional liability release for the use of the accommodations. The Sponsors assume no responsibility for canceled, delayed, suspended or rescheduled events (including, but not limited to airline flights) or any act or omissions whatsoever by the air carriers, hotels, venue operators, transportation companies, prize providers or any other persons providing any prize-related services or accommodations beyond its control. Airline tickets are non-refundable / non-transferable and are not valid for upgrades and/or frequent flyer miles. Seating assignments on plane and at the match are at the Sponsors’ sole discretion. All airline tickets are subject to flight variation, work stoppages, and schedule or route changes. The Sponsors are not responsible for changes in the schedule of any element of the Grand Prize or for any expenses incurred as a consequence of flight cancellation or delay. The Sponsors are not responsible and will have no liability if the Grand Prize winner and/or their guest is for any reason not permitted to travel by the relevant airport authorities or misses a flight or other travel element. The Grand Prize winner and their guest must travel on same itinerary. Grand Prize winner is responsible for any loss of prize or portion of any prize after it has been delivered. The Sponsors will not replace any lost or stolen portions of the Grand Prize. An unclaimed and/or unused Grand Prize element will remain the property of the Sponsors. Each Grand Prize winner (and their guest) understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. Each Grand Prize winner must accept the Grand Prize as stated by the Sponsors or Grand Prize may be forfeited. The Grand Prize winner and his/her guest are responsible for obtaining all required medical and travel-related necessities (including vaccinations) and documentation. If the Grand Prize winner does not have proper travel documentation or does otherwise not accept or participate in any portion of the Grand Prize for any reason whatsoever, then that portion of the Grand Prize is forfeited by the Grand Prize winner (and his/her guest), and the Contest Sponsors shall have no further obligation or liability to Grand Prize winner with respect to the forfeited portion of the Grand Prize.

Grand Prize winner and guest irrevocably waive all claims against the Releasees (as defined in section 6 below), and agree that they will have no liability or responsibility for any claim arising in connection with participation in this Contest, the prizes awarded, personal injury, or wrongful death, a potentially heightened risk of exposure to communicable diseases, viruses, bacteria or illnesses (including, without limitation, COVID-19) and the causes thereof, and sickness arising as a result of participant’s participating in the Contest and related activities (e.g., travel), wherever, whenever or however the same may occur. Grand Prize winner and guest fully understand that (a) the coronavirus SARS-CoV-2 and any resulting disease (together with any mutation, adaptation or variation thereof, “COVID-19”) is extremely contagious and there is an inherent risk of exposure to COVID-19 in any place where people are or have been present; (b) no precautions, including any protocols that will be implemented from time to time by NHL can eliminate the risk of exposure to COVID-19; (c) while people of all ages and health conditions have been adversely affected by COVID-19, certain people have been identified by public health authorities as having greater risk based on age and/or underlying medical conditions; and (d) exposure to COVID-19 can result in being subject to quarantine requirements, illness, disability, other short-term and long-term health effects, and/or death, regardless of age or health condition.

Secondary Prizes and Grand Prizes may be collectively referred to as “Prizes”. Prizes must be accepted as awarded and are non-assignable and non-transferable. No substitutions are available. The Sponsors, in their sole discretion, reserve the right to: (i) substitute all or any portion of the Prizes with another prize or portion thereof of equal or greater value, (ii) limit the number of Prizes awarded to the same person, email address, or physical address and (iii) modify any other awards, discounts, associated quantities and award schedule at any time during the Contest. Under no circumstances will the Sponsors be responsible for awarding and/or redeeming any items in excess of the Prizes and their respective quantities as listed above.

1. 5. SELECTION AND NOTIFICATION OF PARTICIPANTS:
2. (1) SECONDARY PRIZES

A Random Draw for the Secondary Prizes will be conducted on December 15, 2023 at 11:00:00 AM (ET) (the “Secondary Prize Draw Date”) at 204 – 768 Columbia Street, New Westminster, BC, V3M 1B4, by the Administrator, from all eligible entries received from the corresponding geographic region during the Contest Period. Secondary Prize Draws will be initiated by a Contest administrator (human) and processed by an algorithm (computer program) that simulates a random draw. Any attempt to manipulate or tamper with the winner selection system or the database of entries will result in disqualification and possible criminal prosecution. Limit: one (1) Secondary Prize per entrant and household for the Contest Period. The Sponsors or their designated representative will make up to three (3) attempts to contact the selected entrants by text message to the mobile phone number submitted at the time of Entry within five (5) business days following the Secondary Prizes Draw. If the selected entrant: (i) cannot be contacted within three (3) attempts or five (5) business days of being selected (whichever occurs first); or (ii) there is a return of any notification as undeliverable, then the selected entrant will be disqualified.

1. (2) GRAND PRIZES

A Random Draw for the Grand Prizes will be conducted on December 15, 2023 at 11:30:00 AM (ET) (the “Grand Prize Draw Date”) at 204 – 768 Columbia Street, New Westminster, BC, V3M 1B4, by the Administrator, from all eligible entries received from the corresponding geographic region during the Contest Period. The Grand Prize Draws will be initiated by a Contest administrator (human) and processed by an algorithm (computer program) that simulates a random draw. Any attempt to manipulate or tamper with the winner selection system or the database of entries will result in disqualification and possible criminal prosecution. Limit: one (1) Grand Prize per entrant and household for the Contest Period. The Sponsors or their designated representative will make up to three (3) attempts to contact the selected entrants by text message to the mobile phone number submitted at the time of Entry within five (5) business days following the Grand Prize Draw. If the selected entrant: (i) cannot be contacted within three (3) attempts or five (5) business days of being selected (whichever occurs first); or (ii) there is a return of any notification as undeliverable, then the selected entrant will be disqualified.

1. 6. PRIZE CLAIM CONDITIONS:

Before being declared a winner and being awarded a Prize, the selected participant must first correctly answer, without assistance of any kind, whether mechanical or otherwise, time-limited, a mathematical skill-testing question to be administered by Administrators at a mutually convenient time. Sponsors reserve the right to administer an alternate test of skill as necessary to comply with applicable law.

The selected participant may be required to do any or all of the following: (i) supply proof of identification in a form acceptable to the Sponsors for verification of age and address, and (ii) verify they are the Authorized Account Holder of the phone number submitted with their entry. The selected participant (and if the participant is a Minor, the parent or legal guardian) will also be required to sign and return the Sponsors’ Declaration and Release Form (the “Release Form”), which (among other things): (i) confirms compliance with these Rules, agrees to be bound by these Rules, and acceptance of the applicable Prize as awarded without substitution; (ii) releases the Sponsors and Administrator of their respective affiliated and related companies, the prize suppliers, advertising and promotional agencies, the independent contest judging organization and each of their respective shareholders, directors, officers, employees, agents, dealers, representatives, successors and assignees (collectively, the “Releasees”) from any liability in connection with this Contest, the selected participant’s participation therein and/or the awarding and use/misuse of the Prize or any portion thereof, and shall indemnify and defend the Releasees from any claim, action, liability, loss, injury or damage, including, without limitation, personal injury or death to winner or any third party or damage to property due in whole or in part, directly or indirectly, by any reason arising therefrom; (iii) releases The NBA Entities and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, representatives, and agents from any liability in connection with this Contest and shall release and hold harmless from any claim, action, liability, loss, injury or damage, including, without limitation, personal injury or death to winner or any third party or damage to personal or real property due in whole or in part, directly or indirectly, by any reason, including the acceptance, possession, use or misuse of the prize and/or participation in this promotion; (iv) agrees to the publication, reproduction and/or other use of his/her name, address, voice, statements about the Contest and/or photograph or other likeness, without further notice or compensation, in any publicity or advertisement carried out by the Sponsors in any manner whatsoever, including print, broadcast or the Internet; and (v) agrees (if minor, his/her parent or legal guardian) that the NBA Entities and their designees and assigns may use the participant’s name, voice, city/state of residence, photos, video or film clips, and/or other visual likeness for advertising and/or trade purposes and/or for any other purpose in any media or format now or hereafter known without further compensation (financial or otherwise), permission or notification. The Release form will be sent via text message from 247-253 and must be filled out and returned electronically with proof of age (if requested by Sponsors) within five (5) business days of receipt and, if mailed, received within ten (10) business days. The Sponsors and their agents assume no responsibility for lost, stolen, delayed, illegible, damaged, misdirected, late, or otherwise void Release Forms.

Declining the Prize, failing to correctly answer the mathematical skill-testing question or failing to return the properly executed Release Form within the time period indicated on the Release Form, or otherwise not complying with these Rules will cause the Prize to be forfeited and a new Random Draw held in accordance with the process for the applicable Prize, as described above in “Selection of Participants”.

Prize claims are subject to verification and will be declared invalid if they are illegible, mechanically reproduced, forged, falsified, altered or tampered with in any way. All prize claim and related forms become the property of the Sponsors.

In most cases, Prizes will be delivered to winners at the address submitted within four (4) to eight (8) weeks of receiving their correctly completed prize claim form and proof of age. The Sponsors are not responsible for contacting or forwarding prizes to winners who provide unclear or incomplete information, or for prizes lost, misdirected, delayed or destroyed while in transit.

1. 7. USE OF PERSONAL INFORMATION: icipants, or in the case of eligible Minor participants, their parent and/or legal guardian, if winners, consent to the use of their name, city of residence, photographs and/or images for publicity purposes in all media carried out by the Sponsors and NBA Entities in respect of this Contest without payment or compensation or liability for use of same.

The Sponsors and the Administrators commit themselves to collect and use the personal information requested from Prize winners, such as name, phone number, and province/territory in regard to the Contest, solely and exclusively for: (i) the purposes of Prize redemption and delivering the Prize as provided for in the Rules; and (ii) in the case of the Sponsors, when consent has been given in accordance with Canada’s Anti-Spam Legislation (“CASL”), to promote and to market additional products and services offered by the Sponsors.

The Sponsors and the Administrators will never, rent, sell or otherwise communicate or give out your personal information to any other person without your prior consent, which you may refuse or withdraw at any time. 1. 8. LIMITATION OF LIABILITY: By participating in the Contest, you release without limitation the Releasees from any liability in connection with this Contest, the selected participant’s participation therein and/or the awarding and use/misuse of any Prize or portion thereof.

Without limiting the generality of the foregoing, the Sponsors are not responsible or liable for: (i) incorrect or inaccurate entry of registration or entry information which may affect a participant’s ability to participate in the Contest; (ii) human errors, technical malfunctions, lost/delayed/corrupted data transmissions, omissions, interruptions, deletions, defects, line failures of any communications network, computer equipment, software or any combination thereof; (iii) any inability of a participant to access the website, or damage to a user's system occasioned by participating in the Contest; and (iv) entries which fail to fully comply with these Rules. Entries and Prize claims are subject to verification and will be declared invalid if they are illegible, mechanically reproduced, mutilated, forged, falsified, altered or tampered with in any way.

Neither the Sponsors nor the Administrators are responsible for contacting or forwarding Prizes to winners who leave unclear or incomplete information, or for Prizes lost, misdirected, delayed or destroyed while in transit from the Sponsors' premises. All Prize claims and related forms become the property of the Sponsors.

The NBA Entities and each of their respective parent companies, subsidiaries, affiliates, officers, directors, employees, governors, owners, distributors, retailers, agents, assignees, advertising/promotion agencies, representatives, and agents shall have no liability and will be released and held harmless from any claim, action, liability, loss, injury or damage, including, without limitation, personal injury or death to winner or any third party or damage to personal or real property due in whole or in part, directly or indirectly, by any reason, including the acceptance, possession, use or misuse of the prize and/or participation in this contest.

1. 9. SUSPENSION OR TERMINATION OF CONTEST: The Sponsors and associates and agents authorized to act on their behalf, reserve the right, in their sole discretion and without notice to cancel, suspend, or modify the Contest, portions of the Contest, or Participants’ eligibility for any reason, including without limitation in the event of any printing, administrative error, virus, bug, unauthorized human intervention, tampering, fraud, equipment failure, security breaches or other causes which corrupt or affect the administration, security, fairness or proper conduct of the Contest. Any attempt to deliberately damage or tamper with the Contest, interfere with the proper administration of the Contest or undermine the legitimate operation of the Contest is a violation of criminal and civil laws, and should such an attempt be made, the Sponsors and the Promotion Group reserve the right to seek remedies and damages to the fullest extent permitted by law, including criminal and/or civil prosecution.
2. 10. GENERAL: These Rules are available online at the Contest Website. All entrants agree to abide by the Rules, which are subject to change at any time at the sole discretion of the Sponsors, and by the decisions of the Sponsors, which are final and binding in all respects.

These Rules shall be governed by and construed in accordance with the laws of the Province of Ontario, and the laws of Canada, as applicable therein, without reference to its conflicts of laws principles. Any and all disputes, claims, and causes of action arising out of or connected with these Rules shall be resolved individually, and exclusively by the courts in Ontario. The invalidity or unenforceability of any provision of these Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these Rules shall otherwise remain in effect and be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
